Mallery & Zimmerman’s taxation practice provides advice and assistance to clients on tax matters, as well as business and investment transactions involving tax concerns, including negotiating and structuring tax-credit projects and investments, and structuring corporate, partnership and other business transactions.
We advise and assist clients in structuring and negotiating business organizations, such as corporations, partnerships and limited liability companies (LLCs), as well as agreements governing them, such as LLC operating agreements and partnership agreements. We also work with clients regarding tax planning for acquisitions and sales of businesses, corporate reorganizations and re-capitalizations, and investments in business entities.
Our tax practice group and real estate practice group work closely together regarding real estate transactions and investments, including the agreements and other documents governing the terms of the investment. Our attorneys have extensive experience representing investors and developers in tax credit projects, especially projects involving historic/rehabilitation tax credits, low-income housing tax credits (LIHTC), and New Markets tax credits.
We also counsel clients on tax planning opportunities and offer tax counsel in a variety of other areas. Our corporate and business clients range from large publicly-traded companies to mid-size businesses to small, entrepreneurial start-up businesses. In addition, the tax practice group represents clients before governmental agencies and courts in both federal and state tax controversies.
